1. Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the msoocast.com website and any related demos, documentation, or marketing materials operated by MSOOCast LLC (“MSOOCast,” “we,” “us,” or “our”). By accessing or using the site, you agree to these Terms.

If you are using the site on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity. Separate written agreements may govern paid platform deployments; those agreements control where they conflict with these Terms.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the site. The site is intended for business and professional use related to broadcast, streaming, and video monetization workflows.

3. Accounts and communications

When you request a demo, submit a contact form, or otherwise provide information, you agree to provide accurate details and to keep them reasonably up to date. You consent to receive service-related communications from us. Marketing communications are optional and can be opted out of as described in our Privacy Policy.

4. Acceptable use

You agree not to:

• Use the site in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to our systems, accounts, or data.
• Interfere with or disrupt the integrity, security, or performance of the site.
• Scrape, crawl, or harvest content or data except as permitted by robots rules or written authorization.
• Reverse engineer, decompile, or attempt to extract source code from any non-open portions of our software, except to the extent such restriction is prohibited by law.

5. Intellectual property

The site, including its design, text, graphics, logos, software, and trademarks, is owned by MSOOCast or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the site for lawful business purposes.

You may not copy, modify, distribute, sell, or create derivative works from site content without our prior written consent, except for fair use or other rights that cannot be waived under applicable law.

6. Third-party services and links

The site may reference or link to third-party websites, products, or services. We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms.

7. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MSOOCAST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the site will be uninterrupted, error-free, or free of harmful components, or that any information on the site is complete or current. Product descriptions, roadmaps, and marketing materials are for informational purposes and do not constitute a commitment unless stated in a signed agreement.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MSOOCAST AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

9. Indemnification

You agree to indemnify and hold harmless MSOOCast and its affiliates, officers, directors, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the site, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may suspend or terminate access to the site at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the site. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

11. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Exclusive venue for disputes arising from these Terms or the site will be the state or federal courts located in New Jersey, and you consent to personal jurisdiction there, except where prohibited by law.

12. Changes

We may revise these Terms from time to time. The “Last updated” date indicates the latest revision. Continued use of the site after changes become effective constitutes acceptance of the revised Terms. If you do not agree, discontinue use of the site.
